Pilot terms and conditions
In short
- Virtrix is in a pilot stage. The platform, outputs and this website are provided as they are, for evaluation only.
- Outputs are illustrative and are not engineering surveys, loss estimates, reinsurance or regulatory capital figures, or insurance advice.
- You stay responsible for every underwriting, pricing, claims, reinsurance and capital decision.
- To the fullest extent the law allows, Virtrix is not liable for losses arising from the pilot.
1. Who these terms apply to
These terms govern your use of the Virtrix website at virtrix.ai and your participation in the Virtrix founding pilot ("the pilot"). "Virtrix", "we" and "us" mean the company that operates Virtrix. "You" means the organisation taking part in the pilot or using the website, and the people who act for it.
By using the website, submitting a pilot request or taking part in the pilot, you agree to these terms. If you and Virtrix sign a separate pilot agreement, that agreement takes priority wherever it differs from these terms.
2. Pilot stage
Virtrix is in active development. During the pilot:
- features, modules, methods and outputs may change, be withdrawn or be unavailable without notice;
- module status shown on the website (for example "in pilot", "in development" or "roadmap") describes our current plans and is not a commitment to deliver any feature or date;
- we may limit, suspend or end the pilot, or your access to it, at any time.
3. Outputs are for evaluation only
Everything Virtrix produces during the pilot, including satellite observations, overlays, flags, evidence records, questions for engineers, maps, scores, summaries and reports ("outputs"), is provided for evaluation and discussion only.
Outputs are not:
- a risk survey, site inspection or engineering assessment;
- a valuation, loss estimate, probable maximum loss or catastrophe model result;
- a reinsurance, solvency or risk-based capital figure, or a regulatory submission;
- insurance, legal, actuarial, financial or other professional advice.
Virtrix is not an insurer, reinsurer, broker or loss adjuster, and does not provide services that require an insurance licence. Illustrative examples on the website, including overlays on satellite images, are examples only and do not describe the real condition of any site.
4. Your decisions remain yours
You must not rely on outputs as the sole basis for any underwriting, pricing, acceptance, declinature, renewal, claims, accumulation, reinsurance or capital decision. Every output must be reviewed by your own qualified people before you act on it. You remain fully responsible for your decisions and for meeting your own regulatory, contractual and professional obligations.
5. No warranties
To the fullest extent permitted by law, the website, the pilot and all outputs are provided "as is" and "as available". We make no promise or warranty, express or implied, that they will be accurate, complete, current, uninterrupted, free of errors or fit for any particular purpose.
Satellite imagery has natural limits. It may be out of date, and cloud, shadow, resolution and viewing angle can hide or distort features. Imagery cannot show conditions inside buildings, on roofs in detail, or below ground.
6. Third-party data and imagery
The pilot uses imagery and data from third parties, such as satellite operators and their distributors. That material belongs to its owners and is subject to their own licence terms, which may limit how it can be used or shared. We do not control third-party material and give no warranty for it. Imagery credits are shown where the imagery is used.
7. What you agree to do
- Only share data that you have the right to share with us, and that you may lawfully share for the pilot.
- Not share special categories of personal data, or personal data that is not needed for the pilot, unless we have agreed this in writing first.
- Keep log-in details secure and tell us promptly about any unauthorised use.
- Use the website, the pilot and the outputs lawfully, and not copy, resell, reverse engineer or try to gain unauthorised access to them.
- Not share outputs outside your organisation, or describe them as validated results, without our written consent.
8. Fees
The pilot is provided free of charge unless we agree otherwise in writing. Any agreed fees, and any terms that apply to them, will be set out in a separate written agreement.
9. Intellectual property
Virtrix and its licensors own the platform, software, methods, models, designs, documentation and outputs, other than your data. You keep ownership of the data you provide. You give us a non-exclusive licence to use your data during the pilot to provide, test and improve the pilot. If you send us feedback or suggestions, we may use them freely without any obligation to you.
10. Confidentiality
Each party will keep confidential any non-public information it receives from the other party in connection with the pilot. It will use that information only for the pilot, and will share it only with people who need it for the pilot and are bound by similar duties. This does not apply to information that is public, already known to the receiving party, received lawfully from someone else, or that must be disclosed by law or a regulator.
11. Limitation of liability
To the fullest extent permitted by the laws of the Kingdom of Saudi Arabia:
- Virtrix will not be liable to you, whether in contract, tort (including negligence), under statute or otherwise, for any loss or damage arising from or connected with the website, the pilot, any output, or any decision made or action taken using them.
- Without limiting point 1, Virtrix will not be liable for any loss of profit, revenue, premium, business, goodwill or data; any underwriting, claims, accumulation, reinsurance or capital loss; any regulatory penalty; or any indirect, special or consequential loss.
- If Virtrix is found liable despite points 1 and 2, its total liability for all claims together will not exceed the fees you have paid to Virtrix for the pilot in the twelve months before the claim. If the pilot is free of charge, its total liability will not exceed one thousand Saudi riyals (SAR 1,000).
Nothing in these terms excludes or limits any liability that cannot be excluded or limited by law, including liability for fraud or deliberate misconduct.
12. Indemnity
You will compensate Virtrix for claims, losses and reasonable costs that arise from your breach of these terms, from data you provide without the right to do so, or from your use of outputs in breach of section 4.
13. Ending the pilot
Either party may end its participation in the pilot at any time by written notice, including by email. When the pilot ends, your access ends, and we will delete or return your data as described in our privacy notice or in any separate pilot agreement. Sections 3 to 6 and 9 to 15 continue to apply after the pilot ends.
14. Changes to these terms
We may update these terms from time to time. The date at the top shows when they were last changed. If you keep using the website or the pilot after a change, you accept the updated terms.
15. Governing law and disputes
These terms are governed by the laws of the Kingdom of Saudi Arabia. The parties will first try to resolve any dispute in good faith. If a dispute is not resolved within thirty days, it will be referred to the competent courts in Riyadh, Kingdom of Saudi Arabia. If any part of these terms is found to be unenforceable, the rest will continue to apply.
16. Contact
Questions about these terms can be sent to info@virtrix.ai.
